<p><strong>Please read carefully:</strong> The following Terms & Conditions define the respective parties’ responsibilities of the contractual agreement between Summit Exposition and you, the Exhibitor. Acceptance of said terms and conditions will be construed when any of the following conditions are met:</p>
<ul>
<li>Signature of the Payment Authorization Form or</li>
<li>Online order is placed or</li>
<li>An order for labor, services, and/or rental equipment is placed by an Exhibitor with Summit Exposition or</li>
<li>Work is performed on behalf of Exhibitor by labor secured through Summit Exposition</li>
</ul>
<p><strong>DEFINITIONS:</strong> The name Summit Exposition shall be construed within the meaning of this contract as Summit Exposition, and their employees, officers, agents and assigns, affiliated companies and related entities including but not limited to any subcontractors Summit Exposition may appoint. The term Exhibitor shall be construed within the meaning of this contract as the EXHIBITOR and/or its employees, agents, representatives and/or any Exhibitor Appointed Contractor (EAC).</p>
<h2>PAYMENT POLICY</h2>
<p>Summit Exposition LLC has established the following terms and conditions for all services:</p>
<p><span style="text-decoration: underline; font-weight: bold;">Payments</span></p>
<p>Payments must be made in U.S. Funds. Materials and equipment are on a rental basis, except where specifically identified as a sale, and remain the property of Summit Exposition.</p>
<p>Summit Exposition requires payment for all services upon presentation of an invoice statement at the exhibit site. To receive the discounted prices, a credit card number must accompany your advance order and be received prior to the deadline date posted. Summit Exposition will accept payment by cash, company check, and bank transfer or with the following credit cards: Visa, MasterCard, Discover and American Express. Summit Exposition reserves the right to check the credit available on any card presented. If the exhibitor fails to pay their invoice prior to the close of the show, the charges will automatically be applied to the credit card on file. Payment for all labor, equipment and services, whether ordered by the exhibitor, display builder, non- official contractor or other parties, shall be the responsibility of the exhibitor at the event.</p>
<p>Checks: Please note that all exhibitors must have a valid credit card on file prior to the move-in to receive their orders at the show. Exhibitors who prefer to pay by check may do so by supplying a valid credit card as a deposit. The card will not be charged as long as full payment is received prior to the opening of the show. If your organization requires a purchase order or check request authorization, an invoice can be provided immediately. Please contact Customer Service for more information.</p>
<p>Exhibitors with open balances will be required to settle their past due accounts and forward an advance deposit to cover the estimated costs of service and, if such deposit is not sufficient, will be required to settle their accounts prior to the close of the exhibition. International Exhibitors will be required to settle their accounts in full prior to the close of the exhibition. Payments must be made in U.S. Funds by credit card, cash, check or wire transfer when previously arranged by Summit Exposition.</p>
<p>Summit Exposition reserves the right to institute collection action against all exhibitors/third parties, in the event payments are not received within 30 days. Service charges of 1.5% per month or fraction thereof will be applied to the past due accounts; the annual rate per service charge is 18%. Fees associated with insufficient funds on personal and company checks, and charge back fees on credit card will be added to your invoice. <strong>A $30 service fee will be charged on any declined credit card or returned check for insufficient funds. </strong></p>
<p><span style="text-decoration: underline; font-weight: bold;">Cancellations/Refunds</span></p>
<p>Items cancelled 15 days prior the show move-in date and after will be charged at 50% of original price. Items cancelled after move-in begins will be charged at 100% of original price. Any special orders (specialty furniture, deluxe carpet, and custom rental units) are non-refundable once the order has been placed.</p>
<p>It is the responsibility of the Exhibitor to advise the Summit Exposition Service Center of any problems with any orders and delivered items and to check their order for accuracy prior to the close of the event. <strong>No credits will be issued after the exhibition closing.</strong></p>
<h2>LIMITS OF LIABILITY & RESPONSIBILITY</h2>
<p><strong> Any of the following actions shall be construed as an acceptance by such exhibitor or agent of the terms and conditions set forth below:</strong></p>
<ul>
<li>Placement by an exhibitor of an order for rental equipment and/or labor; or</li>
<li>Receipt of an exhibitor's materials at a Summit Exposition warehouse or show site in which Summit Exposition is the official contractor; or</li>
<li>Receipt of signed Payment Authorization form</li>
</ul>
<ol>
<li style="padding-bottom: 10px;">Summit Exposition and its subcontractors shall not be liable for loss, delay, or damage due to strikes, lockouts, work stoppages of any kind, Acts of God, weather conditions, vandalism, civil disturbances, public authority, and acts of terrorism or war.</li>
<li style="padding-bottom: 10px;">Summit Exposition and its subcontractors assume no liability for loss, injury, or damage caused by tradesmen or equipment furnished by Summit Exposition, or its subcontractors, when supervised by the exhibitor. If hired to supervise labor, Summit Exposition shall be liable only for action or claims due to negligent supervision, and limited to the cost of the supervised labor, or depreciation of good, whichever is less.</li>
<li style="padding-bottom: 10px;">Summit Exposition and its subcontractors shall not be liable to any extent whatsoever for any actual, potential, or assumed loss of profits or revenues, or for any collateral costs, which may result from any loss, injury, or damage to an exhibitor's materials or exhibitor personnel, which may make it impossible or impractical to exhibit the exhibitor's materials.</li>
<li style="padding-bottom: 10px;">Upon discovery, all apparent loss, injury, or damage to you or your property must be left in its undisturbed condition and immediately reported to a Summit Exposition representative for documentation and visual inspection. Physical inspection by a Summit Exposition representative is required, photo documentation will not be accepted. Claims for discovered and reported loss; injury or damage must be submitted to Summit Exposition prior to continuing set up. No suit or action shall be brought against Summit Exposition, or its subcontractors, more than one year after the incident giving rise to the cause of action.</li>
<li style="padding-bottom: 10px;">Summit Exposition shall be responsible only for those services which it directly provides, and assumes no responsibility for any persons, parties, or other contracting firms not under Summit Exposition's direct supervision and control.</li>
<li style="padding-bottom: 10px;">
<p>Standing on chairs, tables or other rental furniture is prohibited. This furniture is not engineered to support your standing weight. Summit Exposition cannot be responsible for injuries or falls caused by the improper use of rental furniture. If assistance is required in assembling your booth, please order labor on the Display Labor order form and the necessary ladders and tools will be provided. Please assist in our efforts to provide a SAFE WORKING ENVIRONMENT for everyone.</p>
</li>
<li style="padding-bottom: 10px;">
<p><span style="line-height: 15px; font-family: Arial, Verdana, sans-serif; font-size: 12px;">Summit Exposition is NOT an insurer, and does not offer or provide insurance. It is the obligation of the exhibitor to ensure goods and materials are insured at all times. Summit Exposition assumes no liability for exhibitor's material and/or goods while in transit to and from the show, in storage, while on the show floor, or damage where the direct cause of the loss, injury or damage is unknown or indeterminable. Be sure your Liability Insurance is in effect while in transit to and from the show, during storage and at the show site. Contact your insurance representative.</span></p>
</li>
</ol>
<h2>LIMITS OF LIABILITY & RESPONSIBILITY FOR MATERIAL HANDLING SERVICES</h2>
<p><strong>Any of the following actions shall be construed as an acceptance by such exhibitor or agent of the terms and conditions set forth below:</strong></p>
<ul>
<li>Placement by an exhibitor of an order for rental equipment and/or labor; or</li>
<li>Receipt of an exhibitor's materials at a Summit Exposition warehouse or show site in which Summit Exposition is the official contractor; or</li>
<li>Receipt of signed Payment Authorization form</li>
</ul>
<ol>
<li style="padding-bottom: 10px;">Summit Exposition and its subcontractors shall not be responsible for damage to loose or uncrated materials, materials improperly packed, shrink-wrapped or pad-wrapped materials, glass breakage or concealed damage.</li>
<li style="padding-bottom: 10px;">Relative to inbound shipments, there may be a lapse of time between the delivery of shipment(s) to the booth by Summit Exposition or its subcontractors and the arrival of the Exhibitor's representative at the booth. Similarly, relative to outgoing shipment(s), it is possible that there will be a lapse of time between the completion of packing and the actual pick-up of materials from the booth for loading onto a carrier. With the knowledge that during such times the shipment(s) will be left in the booth unattended, it is recommended that a representative from the exhibiting company stay with the shipment until it is picked up. Therefore, it is agreed that Summit Exposition and its subcontractors are not responsible for the loss or disappearance of the Exhibitor's materials after the shipment has been delivered to Exhibitor's booth, nor are Summit Exposition and its contractors responsible for Exhibitor's materials before they are picked up from the Exhibitor's booth for loading after the show. Consequently, all bills of lading covering outgoing shipment(s) submitted to Summit Exposition or its subcontractors by the Exhibitor will be checked at the time of pick-up from the booth and corrected where discrepancies exist.</li>
<li style="padding-bottom: 10px;">Summit Exposition and its subcontractors shall not be held liable for any damage incurred during the handling of equipment requiring special devices to properly load, place or reload unless advance notice has been given to Summit Exposition in time to obtain the proper equipment</li>
<li style="padding-bottom: 10px;">Summit Exposition and its subcontractors shall not be liable for loss, delay, or damage due to strikes, lockouts, work stoppages of any kind, Acts of God, weather conditions, vandalism, civil disturbances, public authority, and acts of terrorism or war.</li>
<li style="padding-bottom: 10px;">Summit Exposition shall not be responsible for ordinary wear and tear in handling of equipment, nor for loss or damage due to crates and packaging which are unsuitable for handling, in poor condition, or have prior damage. Crates and packaging should be of a design to adequately protect contents for handling by forklift and similar means.</li>
<li style="padding-bottom: 10px;">It is understood that Summit Exposition and its subcontractors are not insurers. Insurance shall be obtained by the Exhibitor. Amounts payable by Summit Exposition hereunder are based on the scope of the liability as herein set for and are unrelated to the value of the Exhibitors property. It is further understood and agreed that Summit Exposition and its subcontractors do not provide for full liability should loss or damage occur. Should Summit Exposition be found liable for loss or damage, the maximum liability for exhibitors goods and materials is limited to $0.50 (USD) with a maximum liability of $100.00 (USD) per container, or $1,500 (USD) per shipment, whichever is less. Summit Exposition and its subcontractors shall not be liable to any extent whatsoever for any actual, potential or assumed loss of profits or revenues or for any collateral costs that may result from any loss or damage to Exhibitor's materials, which may make it impossible or impractical to exhibit.</li>

<li>The Exhibitor agrees, in connection with the receipt, handling, temporary storage and reloading of its materials, that Summit Exposition and its subcontractors will provide these services as Exhibitor's agent and not as bailee or shipper. If any employee of Summit Exposition or its subcontractors shall sign a delivery receipt, bill of lading or other document, we agree that Summit Exposition or its subcontractor will do so as the Exhibitor's agent, and the Exhibitor accepts the responsibility thereof.</li>
<li style="padding-bottom: 10px;">Summit Exposition and its subcontractors shall not be liable for shipments received without receipts; freight bills or specified unit counts on receipts or freight bills, such as UPS or van lines. Such shipments will be delivered to booth without guarantee of piece count or condition.</li>
<li style="padding-bottom: 10px;">Empty container labels will be available at the Service Desk. Affixing the labels is the sole responsibility of the Exhibitor or its representative. It is understood that these labels are used for EMPTY STORAGE ONLY, and Summit Exposition and its subcontractors assume no responsibility for loss or damage to contents while containers are in storage or for mislabeled containers.</li>
<li style="padding-bottom: 10px;">In order to expedite removal of materials from the show site, Summit Exposition shall have the authority to change exhibitor designated carriers, if such carriers do not pick up on time. Where the Exhibitor makes no disposition, materials will be rerouted on the official show carrier, and the Exhibitor agrees to be responsible for payment of charges relating to such rerouting. Summit Exposition assumes no liability as a result of such re-routing or handling.</li>
<li style="padding-bottom: 10px;">The Exhibitor agrees, in the event of a dispute with Summit Exposition or its subcontractors relative to any loss or damage to any of our materials or equipment, that the Exhibitor will not withhold payment in any amount due to Summit Exposition for material handling services or any other services provided by Summit Exposition or its subcontractors as an offset against the amount of the alleged loss or damage. Instead, the Exhibitor agrees to pay Summit Exposition prior to the close of the show for all such charges and further agrees that any claim the Exhibitor may have against Summit Exposition or its subcontractors shall be pursued independently by the Exhibitor as a completely separate transaction to be resolved on its own merits.</li>
</ol>
<p>The consignment or delivery of a shipment to Summit Exposition or its subcontractors by an Exhibitor or by any shipper on behalf of the Exhibitor shall be construed as an acceptance by such Exhibitor (and/or other shipper) of the terms and conditions set forth in Sections 1 through 12 above.</p>
<p><strong>Summit Exposition and its subcontractors are not insurers of you or your property and will not assume responsibility for loss, injury or damage where the direct cause of the loss, injury or damage is unknown or indeterminable. </strong></p>
<p><strong>Be sure your materials are insured from the time that they leave your firm until they are returned after the show. It is suggested that Exhibitors arrange all risk coverage. Riders to existing policies can usually do this. Contact your insurance representative. Be sure your insurance is in effect in transit to and from the show, during storage and at show site. </strong></p>

<p>This Privacy Policy (the “Policy”) governs the manner in which Summit Exposition collects, uses, maintains, and discloses information collected from you in connection with the Summit Exposition online storefront.</p>

<p>Summit Exposition may collect and store information about you and/or your business including your or your business’s name, email address, phone number, mailing address, accounting transaction data, payment or other financial information, aggregate transaction data, customer sales and order information, third-party data, business data, browser data, devices used, technical information about your means of connection to applications, and any other information or data submitted by you or third parties in connection with our Software Services, Storefronts, or other services rendered pursuant to the Agreement (the “Information”).</p>
<p><strong><span style="text-decoration: underline;">Information Use</span></strong></p>
<p>Information collected may be used in connection with or for purposes of providing services to you, your business, and to others, improving services provided to you, your business, or to others, providing notices to you, complying with applicable law, and any other lawful purpose, including protecting the health or safety of you or others, and monitoring and preventing fraudulent or unlawful third-party activity.</p>
<p><strong><span style="text-decoration: underline;">Commercial Use of Information</span></strong></p>
<p>Summit Exposition will not sell or share the Information with third parties for any commercial purposes without your consent and express agreement. Summit Exposition may, however, use the Information in order to share generic, collective, group, or other non-identifying information about the use of Summit Exposition’s products and services as part of commercial transactions with third parties to help Summit Exposition improve its products and services or for any other lawful purpose.</p>
<p><strong><span style="text-decoration: underline;">Third-Party Service Providers</span></strong></p>
<p>Summit Exposition may use third-party service providers and vendors to assist Summit Exposition in providing its products and services to you and others, including, without limitation, services to host Summit Exposition’s Software Services, Storefronts, payment processes, and other services pursuant to the Agreement. Summit Exposition may also use third-party service providers and vendors to store Information and other data. Any such third parties would have access to your Information for the limited purpose of assisting, as reasonably necessary, Summit Exposition in providing Software Services and other services pursuant to the Agreement.</p>
<p>Summit Exposition may disclose your Information as Summit Exposition reasonably believes is required by court order, governmental directive, or other law, to protect the rights of Summit Exposition, or as otherwise allowed pursuant to the Agreement or applicable law.</p>
<p><strong><span style="text-decoration: underline;">Information Protection</span></strong></p>
<p>Summit Exposition will retain, protect, and process the Information and underlying or related data using commercially reasonable practices. Although Summit Exposition will undertake such efforts to preserve and protect the integrity of the Information, you acknowledge and agree that all security measures have potential risks.</p>
<p><strong><span style="text-decoration: underline;">Customer Control of Collected Data</span></strong></p>
<p>You may decline to provide or submit Information to us, however, some of our Software Services, Storefronts, or other services may not be available to you if you choose not to provide or submit Information. You also have a right to access the Information that we hold (about you) upon reasonable written request.</p>
<p><strong><span style="text-decoration: underline;">Updates to our Policy</span></strong></p>
<p>By entering into the Agreement or the Acknowledgment or by using our products or services, you consent to the collection and use of your Information by us consistent with this Policy and the Agreement. We may change this Policy from time to time, for any reason. Any such changes become effective when posted.</p>
<p>To the extent that this Policy is inconsistent with applicable law, it is the intent of Summit Exposition to comply with applicable law. If there is any conflict between any provision of this Policy and applicable law, such applicable law shall prevail; provided, however, that any such conflicting provision in this Policy shall be curtailed and limited only to the extent necessary to bring it within the legal requirements and the remainder of this Policy shall not be affected thereby.</p>
